These Legal Terms shall be governed by and defined following the laws of Mexico. MAKEDO ARQUITECTOS and yourself irrevocably consent that the courts of Mexico shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

DISPUTE RESOLUTION

Arbitraje vinculante

Cualquier disputa derivada o relacionada con estos Términos Legales, incluyendo cualquier cuestión relativa a su existencia, validez o terminación, será remitida y resuelta definitivamente por el Tribunal Internacional de Arbitraje Mercantil ante la Cámara Europea de Arbitraje (Bélgica, Bruselas, Avenue Louise, 146) conforme a las Normas de esta ICAC, que, como resultado de su referencia, se considera parte de esta cláusula. El número de árbitros será de uno (1). La sede, o lugar legal, o arbitraje será , . El lenguaje del procedimiento será . La ley que rige estos Términos Legales será la ley sustantiva de .

Restricciones

Las Partes acuerdan que cualquier arbitraje se limitará a la Disputa entre las Partes individualmente. En la medida en que la ley lo permita, (a) ningún arbitraje se asociará con ningún otro procedimiento; (b) no existe derecho ni autoridad para que ninguna disputa sea arbitrada en base a una demanda colectiva ni para utilizar procedimientos de acciones colectivas; y (c) no existe derecho ni autoridad para que ninguna disputa se presente en calidad de supuesta representación en nombre del público general o de cualquier otra persona.

Excepciones al arbitraje

Las Partes acuerdan que las siguientes Disputas no están sujetas a las disposiciones anteriores relativas al arbitraje vinculante: (a) cualquier Disputa que busque hacer cumplir o proteger, o que afecte a la validez de cualquiera de los derechos de propiedad intelectual de una Parte; (b) cualquier disputa relacionada con, o derivada de, acusaciones de robo, piratería, invasión de la privacidad o uso no autorizado; y (c) cualquier reclamación de medidas cautelares. Si esta disposición se determina ilegal o inaplicable, ninguna de las Partes elegirá arbitrar ninguna Disputa que pertenezca a la parte de esta disposición considerada ilegal o inexigible y dicha Disputa será resuelta por un tribunal competente dentro de los tribunales listados anteriormente, y las Partes acuerdan someterse a la jurisdicción personal de ese tribunal.

CORRECCIONES

Puede haber información en los Servicios que contenga errores tipográficos, inexactitudes u omisiones, incluyendo descripciones, precios, disponibilidad y diversa otra información. Nos reservamos el derecho de corregir cualquier error, inexactitud u omisión y de cambiar o actualizar la información sobre los Servicios en cualquier momento, sin previo aviso.

NO OFRECEMOS NINGUNA GARANTÍA NI REPRESENTACIÓN SOBRE LA EXACTITUD O INTEGRIDAD DEL CONTENIDO DE LOS SERVICIOS NI DE NINGÚN SITIO WEB O APLICACIÓN MÓVIL VINCULADO A LOS SERVICIOS Y NO ASUMIMOS NINGUNA RESPONSABILIDAD NI RESPONSABILIDAD POR (1) ERRORES, ERRORES O INEXACTITUDES DE CONTENIDO Y MATERIALES, (2) LESIONES PERSONALES O DAÑOS A LA PROPIEDAD, DE CUALQUIER NATURALEZA, COMO RESULTADO DE TU ACCESO Y USO DE LOS SERVICIOS, (3) CUALQUIER ACCESO O USO NO AUTORIZADO DE NUESTROS SERVIDORES SEGUROS Y/O TODA LA INFORMACIÓN PERSONAL Y/O FINANCIERA ALMACENADA EN ELLOS, (4) CUALQUIER INTERRUPCIÓN O CESE DE TRANSMISIÓN HACIA O DESDE LOS SERVICIOS, (5) CUALQUIER ERROR, VIRUS, CABALLO DE TROYA O SIMILAR QUE PUEDA SER TRANSMITIDO HACIA O A TRAVÉS DE LOS SERVICIOS POR CUALQUIER TERCERO, Y/O (6) CUALQUIER ERROR U OMISIÓN EN CUALQUIER CONTENIDO Y MATERIAL, O POR CUALQUIER PÉRDIDA O DAÑO DE CUALQUIER TIPO CAUSADO POR EL USO DE CUALQUIER CONTENIDO PUBLICADO, TRANSMITIDO O PUESTO A DISPOSICIÓN DE OTRO MODO A TRAVÉS DE LOS SERVICIOS. NO GARANTIZAMOS, RESPALDAMOS, GARANTIZAMOS NI ASUMIMOS RESPONSABILIDAD POR NINGÚN PRODUCTO U SERVICIO ANUNCIADO U OFRECIDO POR UN TERCERO A TRAVÉS DE LOS SERVICIOS, NINGÚN SITIO WEB ENLAZADO, O CUALQUIER SITIO WEB O APLICACIÓN MÓVIL QUE APAREZCA EN NINGÚN BANNER U OTRA PUBLICIDAD, Y NO SEREMOS PARTE NI DE NINGUNA MANERA RESPONSABLES DE SUPERVISAR NINGUNA TRANSACCIÓN ENTRE USTED Y CUALQUIER PROVEEDOR EXTERNO DE PRODUCTOS O SERVICIOS. AL IGUAL QUE CON LA COMPRA DE UN PRODUCTO O SERVICIO A TRAVÉS DE CUALQUIER MEDIO O ENTORNO, DEBES USAR TU MEJOR JUICIO Y ACTUAR CON CAUTELA CUANDO SEA APROPIADO.

LIMITACIONES DE RESPONSABILIDAD

EN NINGÚN CASO NOSOTROS NI NUESTROS DIRECTORES, EMPLEADOS O AGENTES SEREMOS RESPONSABLES ANTE USTED NI NINGÚN TERCERO POR DAÑOS DIRECTOS, INDIRECTOS, CONSECUENTES, EJEMPLARES, INCIDENTALES, ESPECIALES O PUNITIVOS, INCLUYENDO PÉRDIDA DE BENEFICIOS, INGRESOS PERDIDOS, PÉRDIDA DE DATOS U OTROS DAÑOS DERIVADOS DE SU USO DE LOS SERVICIOS, INCLUSO SI SE NOS HA INFORMADO DE LA POSIBILIDAD DE TALES DAÑOS. A PESAR DE CUALQUIER COSA EN SENTIDO CONTRARIO CONTENIDA AQUÍ, NUESTRA RESPONSABILIDAD HACIA USTED POR CUALQUIER CAUSA Y SIN IMPORTAR LA FORMA DE LA ACCIÓN, ESTARÁ EN TODO MOMENTO LIMITADA A LA MENOR DE LA CANTIDAD QUE USTED NOS HAYA PAGADO, SI ES QUE LA HAY, A NOSOTROS O PESOS MEXICANOS. CIERTAS LEYES ESTATALES DE EE. UU. E INTERNACIONALES NO PERMITEN LIMITACIONES EN GARANTÍAS IMPLÍCITAS NI LA EXCLUSIÓN O LIMITACIÓN DE CIERTOS DAÑOS. SI ESTAS LEYES SE APLICAN A TI, ALGUNAS O TODAS LAS EXENCIONES O LIMITACIONES ANTERIORES PUEDEN NO APLICARTE, Y PODRÍAS TENER DERECHOS ADICIONALES.

INDEMNIZACIÓN

Aceptas defendernos, indemnizarnos y mantenernos inofensivos, incluidas nuestras filiales, afiliados, y todos nuestros respectivos directivos, agentes, socios y empleados, de y contra cualquier pérdida, daño, responsabilidad, reclamación o demanda, incluyendo honorarios y gastos razonables de abogados, asumidos por cualquier tercero debido a o derivado de: (1) el uso de los Servicios; (2) incumplimiento de estos Términos Legales; (3) cualquier incumplimiento de sus representaciones y garantías establecidas en estos Términos Legales; (4) su violación de los derechos de un tercero, incluyendo pero no limitándose a los derechos de propiedad intelectual; o (5) cualquier acto perjudicial abierto hacia cualquier otro usuario de los Servicios con el que se haya conectado a través de los Servicios. No obstante lo anterior, nos reservamos el derecho, a su costa, de asumir la defensa y control exclusivos de cualquier asunto por el que esté obligado a indemnizarnos, y usted acepta cooperar, a su costa, en nuestra defensa de dichas reclamaciones. Haremos esfuerzos razonables para notificarle cualquier reclamación, acción o procedimiento que esté sujeto a esta indemnización al enterarnos de ella.

MISCELÁNEA

Estos Términos Legales y cualquier política o norma operativa publicada por nosotros en los Servicios o en relación con los Servicios constituyen el acuerdo y entendimiento completo entre usted y nosotros. Nuestro incumplimiento de ejercer o hacer cumplir cualquier derecho o disposición de estos Términos Legales no constituirá una renuncia a dicho derecho o disposición. Estos Términos Legales aplican en la máxima medida permitida por la ley. Podemos ceder cualquiera o todos nuestros derechos y obligaciones a otros en cualquier momento. No seremos responsables ni responsables de ninguna pérdida, daño, retraso o falta de acción causado por cualquier causa fuera de nuestro control razonable.
